The Only 100 Club World Cup Sweepstakes (the “Promotion”) is a sweepstakes offered by the Sponsor and is subject to these Official Rules. The Promotion is intended for legal residents of Canada and the United States only and is void where prohibited by law.

All dates and times stated in these Official Rules are expressed in Eastern Time (ET) unless otherwise specified.

Participation in the Promotion constitutes Entrant’s full and unconditional agreement to, and acceptance of, these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Promotion.

SEGMENT 2 — SPONSOR IDENTIFICATION

The Only 100 Club World Cup Sweepstakes (the “Promotion”) is sponsored by West Valley Corp. (the “Sponsor”), with a principal business address at.

The Promotion is not administered by a third-party administrator. All aspects of the Promotion, including entry processing, winner selection, and prize fulfillment, are administered solely by the Sponsor.

SEGMENT 3 — ELIGIBILITY

The Promotion is open only to legal residents of Canada and the United States, excluding jurisdictions where prohibited by law, who, at the time of entry, are nineteen (19) years of age or older if a resident of Canada, or twenty-one (21) years of age or older if a resident of the United States (each an “Eligible Entrant”).

Employees, officers, and directors of the Sponsor, and its respective parents, subsidiaries, affiliates, contractors, agents, advertising and promotion agencies, prize suppliers, and any other parties involved in the development, administration, or fulfillment of the Promotion, as well as the immediate family members (spouse, parents, siblings, and children) and household members of each of the foregoing, are not eligible to participate or win.

The Sponsor reserves the right, at any time and in its sole discretion, to verify the eligibility of any entrant and to disqualify any individual who does not meet the eligibility requirements set forth in these Official Rules or who otherwise fails to comply with these Official Rules.

SEGMENT 4 — AGREEMENT TO OFFICIAL RULES

By participating in the Promotion, each entrant fully and unconditionally agrees to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters related to the Promotion, including, without limitation, eligibility determinations, entry validation, winner selection, and prize fulfillment.

Participation in the Promotion constitutes entrant’s representation and warranty that they meet all eligibility requirements set forth in these Official Rules and that they agree to comply with all applicable laws, rules, and regulations.

Failure to comply with these Official Rules may result in disqualification from the Promotion, forfeiture of any prize, and, where applicable, selection of an alternate winner, as determined by the Sponsor in its sole discretion.

SEGMENT 5 — PROMOTION PERIOD

The Promotion begins on March 15, 2026 at 12:00:00 a.m. Eastern Time (ET) and ends on May 14, 2026 at 11:00:00 p.m. ET (the “Promotion Period”).

All entries must be received within the Promotion Period to be eligible. Entries submitted before the start of the Promotion Period or after the end of the Promotion Period will be void.

The Sponsor’s computer systems shall be the official timekeeping devices for the Promotion. All times referenced in these Official Rules are expressed in Eastern Time (ET).

SEGMENT 6 — HOW TO ENTER (ENTRY METHODS)

There are two (2) ways to enter the Promotion. No purchase is necessary to enter or win. A purchase will not increase an entrant’s chances of winning.

Entry with Membership Purchase

Eligible individuals may receive one (1) entry into the Promotion by purchasing and maintaining an active membership during the Promotion Period. Limit one (1) entry per natural person, regardless of membership tier or method of entry.

All entries associated with a membership are tied to the primary account holder only. Additional users granted access to membership content (such as family or friends) are not eligible to enter the Promotion and may not submit entries on behalf of the primary account holder.

Free Alternate Method of Entry (AMOE) — Mail-In Only

To enter without making a purchase, eligible individuals may submit a handwritten postcard by mail. Each postcard must clearly and legibly include the entrant’s:

  • Full first and last name
  • Email address
  • Phone number
  • Country of residence

Mail-in entries must be received by May 14, 2026 to be eligible. Postmarks are not determinative.

Limit one (1) mail-in entry per natural person during the Promotion Period.

Entry Conditions

  • Limit one (1) entry per natural person, regardless of method of entry.
  • Entries become the property of the Sponsor and will not be acknowledged or returned.
  • No confirmation of receipt of entries will be provided.
  • Entries that are incomplete, illegible, altered, forged, mechanically reproduced, generated by automated means, or submitted in excess of the stated limit will be void.
  • Any attempt to obtain more than the permitted number of entries, including through the use of multiple identities, email addresses, phone numbers, or accounts, may result in disqualification at the Sponsor’s sole discretion.

SEGMENT 7 — ENTRY CONDITIONS & RESTRICTIONS

The Promotion is subject to all applicable federal, provincial, state, and local laws and regulations. By participating, entrants agree to comply with these Official Rules and all decisions of the Sponsor, which are final and binding.

The following are prohibited and will result in disqualification, at the Sponsor’s sole discretion:

  • Use of any sweepstakes clubs, third-party entry services, bulk-entry services, or agents to submit entries on behalf of an entrant;
  • Use of automated, programmed, robotic, scripted, or other mechanical means of entry;
  • Submission of entries using multiple identities, email addresses, phone numbers, or accounts, whether actual or fictitious;
  • Tampering with the entry process, the operation of the Promotion, or any Sponsor website or database;
  • Any attempt to undermine the legitimate operation of the Promotion.

The Sponsor reserves the right, in its sole discretion, to disqualify any entrant and/or void any entry that violates these Official Rules, is suspected of fraud or manipulation, or otherwise compromises the integrity, fairness, or proper conduct of the Promotion.

The Sponsor is not responsible for entries that are lost, late, incomplete, illegible, misdirected, damaged, delayed, or not received due to technical, postal, or other errors, including, without limitation, website outages, server failures, email transmission errors, or postal service disruptions.

If the Promotion is compromised by events beyond the Sponsor’s control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, government orders, labor disputes, or other force majeure events, the Sponsor reserves the right to suspend, modify, or terminate the Promotion, subject to applicable law.

The Sponsor further reserves the right to reject or disqualify any entry that, in the Sponsor’s reasonable judgment, contains offensive, obscene, unlawful, or otherwise inappropriate content.

SEGMENT 8 — WINNER SELECTION & ODDS

On or about May 16, 2026 (the “Draw Date”), the Sponsor will conduct a random draw to select one (1) potential winner from among all eligible entries received during the Promotion Period.

The random draw will be conducted using electronic randomization software or a third-party randomization tool, at the Sponsor’s discretion, and will take place in Oakville, Ontario, Canada. The draw will be conducted as a private internal draw, which may be livestreamed at the Sponsor’s sole discretion, but is not required to be public.

If the selected potential winner is found to be ineligible, fails to correctly answer the required skill-testing question (if a Canadian resident), fails to comply with these Official Rules, or does not respond within the required time period, the Sponsor will conduct a new random draw from among the remaining eligible entries to select an alternate potential winner. This process will be repeated until a verified winner is confirmed or until no eligible entries remain.

Odds of winning depend on the total number of eligible entries received during the Promotion Period.

SEGMENT 9 — PRIZE DESCRIPTION & TIERS (REVISED)

One (1) prize (the “Prize”) will be awarded in the Promotion. The composition of the Prize will depend on the total number of active paid members at the conclusion of the Promotion Period, measured as of May 14, 2026 at 11:00:00 p.m. Eastern Time (ET) (the “Member Count Cutoff Time”).

For purposes of determining the applicable prize tier, a “Member” means an individual who holds an active paid membership as of the Member Count Cutoff Time.

Prize Tiers

The Prize will consist of the following, based on the applicable member count tier:

  • If there are zero (0) to one hundred fifty (150) active paid members:
    Two (2) VIP tickets to the FIFA World Cup match Portugal vs. Colombia in Miami, Florida.
  • If there are one hundred fifty-one (151) to three hundred ninety-nine (399) active paid members:
    Two (2) VIP tickets to the FIFA World Cup match Portugal vs. Colombia in Miami, Florida, plus a travel credit of up to Two Thousand U.S. Dollars (US $2,000) to be applied toward airfare expenses for the winner.
  • If there are four hundred (400) to six hundred (600) active paid members:
    Two (2) VIP tickets to the FIFA World Cup match Portugal vs. Colombia in Miami, Florida, plus a travel credit of up to Four Thousand U.S. Dollars (US $4,000) to be applied toward airfare expenses and accommodations for the winner.
    For tiers at or above four hundred (400) active paid members, the Prize may also include hotel breakfast and airport pick-up and drop-off services, subject to availability, hotel rules and conditions, and demand. Such inclusions are not guaranteed and may be modified or omitted at the Sponsor’s discretion.
  • If there are six hundred one (601) or more active paid members:
    Two (2) VIP tickets to the FIFA World Cup match Portugal vs. Colombia in Miami, Florida, plus a travel credit of up to Six Thousand U.S. Dollars (US $6,000) to be applied toward airfare expenses and accommodations for the winner.
    For tiers at or above four hundred (400) active paid members, the Prize may also include hotel breakfast and airport pick-up and drop-off services, subject to availability, hotel rules and conditions, and demand. Such inclusions are not guaranteed and may be modified or omitted at the Sponsor’s discretion.

Any travel credit, if applicable, will be applied at the Sponsor’s discretion toward eligible travel-related expenses associated with attending the match and may be subject to reasonable conditions and limitations communicated to the winner.

The Approximate Retail Value (“ARV”) of the Prize is approximately Twenty Thousand U.S. Dollars (US $20,000), depending on the applicable prize tier and actual costs incurred.

Only one (1) Prize will be awarded to one (1) winner, regardless of the applicable prize tier.

Winner Responsibility Notice (Summary)

The winner is solely responsible for meeting all requirements necessary to travel, including but not limited to valid identification, passports, visas, and compliance with airline and hotel policies. Any additional costs, charges, losses, or expenses incurred by the winner—including those arising from itinerary changes, missed or delayed flights, ticket issues, property damage, illness, injury, or other unforeseen events—are the sole responsibility of the winner. Additional terms and conditions apply and will be set forth in the Prize Restrictions and Conditions section of these Official Rules.

Excluded Expenses

Unless expressly stated above, the Prize does not include meals (other than any conditional breakfast inclusion noted above), beverages, ground transportation (other than any conditional airport transfers noted above), travel insurance, passport or visa costs, spending money, or any other expenses not specifically described as part of the Prize.

SEGMENT 10 — PRIZE RESTRICTIONS & CONDITIONS (REVISED)

The Prize is non-transferable and may not be assigned, sold, substituted, or redeemed for cash. No cash alternative will be provided under any circumstances.

All tickets included in the Prize will be issued in the verified winner’s first and last name and may not be reissued, reassigned, or transferred to any other individual. The winner must possess and use a compatible mobile device to receive, access, and present any digital tickets associated with the Prize.

The FIFA World Cup match included in the Prize is scheduled to take place on June 27, 2026 (the “Match Date”). Travel associated with the Prize is valid only in connection with the Match Date.

Unless otherwise determined by the Sponsor in its sole discretion, the winner’s arrival in the destination city will be scheduled for the day immediately prior to the Match Date, and the return travel will be scheduled for the day immediately following the Match Date, or the next available flight returning to the winner’s origin location, subject to availability and applicable travel provider rules.

The winner is solely responsible for ensuring compliance with all travel requirements, including but not limited to possession of valid government-issued identification, passports, visas, and compliance with airline, venue, and hotel policies. The Sponsor is not responsible for any inability of the winner to travel or attend due to legal, immigration, health, personal, or scheduling reasons.

The Prize may be forfeited, in whole or in part, if the potential winner:

  • fails to respond to the Sponsor’s notification within the required time period;
  • fails to complete verification requirements;
  • fails to correctly answer the skill-testing question (if applicable);
  • is unable to legally enter the United States;
  • is unable to travel or attend the event for any reason.

In the event of forfeiture, the Sponsor may, at its discretion, select an alternate winner in accordance with these Official Rules.

If the Prize, or any component thereof, becomes unavailable due to circumstances beyond the Sponsor’s reasonable control, including but not limited to event cancellation, venue restrictions, government orders, force majeure events, or changes imposed by the ticket issuer or travel providers, the Sponsor reserves the right, in its sole discretion, to substitute the Prize with an item or experience of equal or greater value or to select an alternate winner.

Except as expressly stated in these Official Rules, all expenses, costs, risks, and liabilities associated with acceptance, use, or misuse of the Prize are the sole responsibility of the winner.

SEGMENT 11 — WINNER VERIFICATION & NOTIFICATION

The potential winner will be selected as described in these Official Rules and will be notified by the Sponsor via email and/or phone within a reasonable time following the draw.

To be declared the official winner, the potential winner must verify eligibility and comply with all requirements set forth in these Official Rules. Verification may include, but is not limited to, the Sponsor’s request for:

  • Valid government-issued photo identification;
  • Proof of residency; and
  • Execution and return of a declaration of eligibility and liability/publicity release, where permitted by law.

If the potential winner is a resident of Canada, they must correctly answer, without assistance, a time-limited mathematical skill-testing question administered by the Sponsor as a condition of being declared the winner.

The potential winner must respond to the Sponsor’s notification and complete all required verification steps within five (5) business days of notification. Failure to respond within the specified time period, failure to provide required documentation, failure to correctly answer the skill-testing question (if applicable), or failure to otherwise comply with these Official Rules will result in forfeiture of the Prize.

In the event of forfeiture, the Sponsor may select an alternate potential winner in accordance with these Official Rules.

SEGMENT 12 — PUBLICITY RELEASE

Except where prohibited by law, acceptance of the Prize constitutes the winner’s grant of permission to the Sponsor to use the winner’s name, photograph, likeness, image, video recording (including winner-submitted video), voice, and city, province/state of residence for advertising, promotional, and publicity purposes related to the Promotion, worldwide and in perpetuity, in any and all media now known or hereafter developed, without further notice, review, approval, or compensation.

No additional compensation will be provided for such use.

Nothing herein obligates the Sponsor to make use of any publicity materials, and the Sponsor’s decision whether or not to use such materials shall be at its sole discretion.

SEGMENT 12 — PUBLICITY RELEASE

Except where prohibited by law, acceptance of the Prize constitutes the winner’s grant of permission to the Sponsor to use the winner’s name, photograph, likeness, image, video recording (including winner-submitted video), voice, and city, province/state of residence for advertising, promotional, and publicity purposes related to the Promotion, worldwide and in perpetuity, in any and all media now known or hereafter developed, without further notice, review, approval, or compensation.

No additional compensation will be provided for such use.

Nothing herein obligates the Sponsor to make use of any publicity materials, and the Sponsor’s decision whether or not to use such materials shall be at its sole discretion.

SEGMENT 13 — PRIVACY & DATA USE

The Sponsor will collect, use, and disclose personal information provided by entrants in accordance with applicable privacy laws and the Sponsor’s Privacy Policy, available at [INSERT PRIVACY POLICY URL].

Personal information collected from entrants may be used to administer the Promotion, verify eligibility, contact entrants and the winner, and fulfill the Prize. In addition, subject to applicable law and required consent, personal information may also be used for marketing and promotional communications by the Sponsor. Where required by law, entrants will have the ability to withdraw consent or opt out of such communications.

By participating in the Promotion, entrants consent to the collection, use, storage, and processing of their personal information as described in these Official Rules and the Privacy Policy.

Personal information may be transferred to, stored, and processed in jurisdictions outside the entrant’s country of residence, including Canada and the United States, where data protection laws may differ from those of the entrant’s jurisdiction.

The Sponsor may share personal information with third-party service providers, including but not limited to prize fulfillment partners (such as airlines, hotels, and ticketing platforms), and with legal or regulatory authorities where required by law or to administer the Promotion.

SEGMENT 14 — RELEASE & LIMITATION OF LIABILITY

By participating in the Promotion, each entrant agrees to release and hold harmless the Sponsor and its respective parents, subsidiaries, affiliates, officers, directors, employees, agents, contractors, representatives, successors, and assigns (collectively, the “Released Parties”) from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses arising out of or related to participation in the Promotion or the acceptance, use, or misuse of the Prize.

The release includes, without limitation, claims relating to personal injury or death, property damage or loss, travel-related incidents, and technical failures of any kind, whether caused by human error, systems, networks, hardware, software, or third-party services.

To the fullest extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the Promotion or the Prize. In no event shall the total liability of the Released Parties exceed the entrant’s actual out-of-pocket costs, if any, incurred directly in connection with entry into the Promotion (which, for the Free Alternate Method of Entry, is zero).

The Released Parties are not responsible for delays, cancellations, modifications, or failures caused by events beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, government orders, labor disputes, or event cancellations.

The Prize is awarded “as is” and without warranty of any kind, express or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose.

SEGMENT 15 — DISPUTES & GOVERNING LAW

Except where prohibited by law, the Promotion and these Official Rules shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

Canadian Residents

For entrants who are legal residents of Canada, any dispute, claim, or cause of action arising out of or relating to the Promotion, these Official Rules, or the Prize shall be resolved exclusively by the courts located in the Province of Ontario, Canada, and such entrants irrevocably submit to the personal jurisdiction of such courts.

United States Residents

For entrants who are legal residents of the United States, any dispute, claim, or cause of action arising out of or relating to the Promotion, these Official Rules, or the Prize shall be resolved by final and binding arbitration, administered in accordance with applicable arbitration rules, as determined by the Sponsor. Arbitration shall be conducted on an individual basis and not as a class, collective, or representative action.

U.S. residents waive any right to participate in a class action, class arbitration, or other representative proceeding, to the fullest extent permitted by law.

Limitation of Remedies

To the fullest extent permitted by law, entrants agree that:

  • Any claims shall be limited to actual out-of-pocket expenses incurred directly in connection with participation in the Promotion (if any); and
  • Entrants waive any right to claim punitive, incidental, consequential, or special damages, as well as any right to seek rescission, injunctive relief, or equitable relief.

Nothing in this section shall limit the Sponsor’s right to seek injunctive or equitable relief for misuse of intellectual property or violation of these Official Rules.

SEGMENT 16 — SEVERABILITY & MISCELLANEOUS

If any provision of these Official Rules is determined to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

The Sponsor’s failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision or of the Sponsor’s right to enforce such provision at any later time.

The Sponsor may assign or transfer its rights and obligations under the Promotion only to an affiliate or successor entity, including in connection with a corporate reorganization, merger, or sale of assets.

These Official Rules constitute the entire agreement between the Sponsor and entrants with respect to the Promotion and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral, relating to the Promotion.

Headings are included for convenience only and shall not affect the interpretation of these Official Rules.

The winner will be identified by first name, last initial, and the first five (5) letters of the winner’s email address, along with the winner’s city and province/state of residence, unless otherwise prohibited by law.
